1. Acceptance of these terms

These Terms of Use (“Terms”) form an agreement between you and Part2Go (“Part2Go”, “we”, “us” or “our”). By accessing or using the website, creating an account, publishing a listing or advertisement, sending a message or otherwise using the service, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use Part2Go.

2. Eligibility and authority

You must have legal capacity to enter into these Terms. If you use Part2Go for a company or another person, you confirm that you are authorised to act for them and that they also agree to these Terms. You must comply with all laws and regulatory requirements that apply to you, your equipment, your content and any transaction.

3. Part2Go’s role

Part2Go provides tools for users to publish, discover and promote listings and to communicate about possible sales, rentals or other arrangements. Unless we expressly state otherwise in writing, Part2Go:

• is not the buyer, seller, owner, lessor, lessee, broker, auctioneer or agent in a user transaction;
• does not take possession of, inspect, certify, value, insure, transport or guarantee listed equipment;
• does not process or hold marketplace transaction payments; and
• is not responsible for concluding, performing or enforcing an agreement between users.

A listing is information supplied by a user, not an offer, warranty, recommendation or endorsement by Part2Go.

4. Accounts and security

You must provide accurate, current information and keep it updated. You are responsible for activity through your account and for safeguarding your password, verification links and other credentials. You must not share an account in a way that compromises security, impersonate another person or create an account using information you are not authorised to use.

Contact us promptly at kevinc@nextify.space if you suspect unauthorised access. We may require email verification, refuse registration or take reasonable steps to protect an account or the service.

5. Listings and seller obligations

If you publish a listing, you must follow our Listing Rules and ensure that:

• you own the item or have clear authority to sell, rent or otherwise offer it;
• the title, description, photographs, location, price, availability, specifications and condition are accurate and not misleading;
• you disclose known material defects, safety issues, usage limits, missing documents and relevant charges or conditions;
• the item and proposed transaction are lawful and do not infringe intellectual property, privacy, contractual or other rights; and
• you promptly update, pause or remove a listing when information changes or the item is no longer available.

You must not manipulate search results through duplicate listings, irrelevant keywords, false prices or other deceptive techniques.

6. Buyer, renter and transaction responsibilities

You are solely responsible for deciding whether to proceed with another user. Before paying, collecting, delivering or operating equipment, you should independently verify the counterparty, ownership, serial numbers, condition, service history, specifications, compatibility, permits, inspection or test certificates, insurance, taxes, transport and lifting arrangements.

Agree in writing on price, deposits, payment method, delivery, risk transfer, warranties, returns and remedies. Use qualified technicians or professional advisers where appropriate. Never disclose passwords or one-time codes, and be cautious of unusual payment instructions, unknown third parties and requests to move communications off-platform. 7. Messages and guest enquiries

Messaging may be used only for genuine marketplace enquiries and related support. You must not send spam, harassment, threats, unlawful content, malicious links or requests for confidential security information. Registered sellers may receive enquiries from anonymous guests. Guest access does not make Part2Go a party to the communication or verify a guest’s identity.

Do not rely on messaging as permanent record storage. Anonymous guest conversations are automatically deleted after 30 consecutive days without a new message. Keep your own copies of transaction records you are legally or commercially required to retain.

8. Prohibited use

You must not:

• use Part2Go for fraud, deception, money laundering, unlawful trade or any unsafe or prohibited activity;
• list stolen, counterfeit, controlled, recalled or unlawfully modified items, or content that infringes another person’s rights;
• harvest personal data, scrape the service at unreasonable scale, send unsolicited promotions or use automated access without written permission;
• probe, bypass or interfere with authentication, access controls, rate limits, moderation, security or service operation;
• upload malware or content designed to damage a device, service or person;
• misrepresent identity, affiliation, equipment condition, availability, price or transaction history; or
• encourage, assist or attempt any prohibited conduct.

9. Business advertising

Business advertising is available only to eligible business accounts and remains subject to review. Advertisers must have all rights and permissions needed for their copy, images, trade marks and destination links. Advertising must be accurate, lawful, clearly identifiable and consistent with any campaign requirements we provide.

Submission does not guarantee approval, publication, placement, impressions or results. We may reject, pause, schedule, expire or remove an advertisement for policy, quality, safety, legal or operational reasons. Any price, duration or additional campaign terms disclosed and accepted for a particular service form part of these Terms.

10. Your content and licence to Part2Go

You retain ownership of content you submit. You grant Part2Go a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, adapt for technical display, publish and communicate that content as reasonably necessary to operate, secure, improve and promote Part2Go and the relevant listing or campaign. This licence lasts while the content is available through the service and for a reasonable period in backups, audit records or materials already created, subject to applicable law.

You confirm that you have the rights and permissions necessary to submit the content and grant this licence. Feedback or suggestions may be used by Part2Go without restriction or payment, provided we do not identify you without permission.

11. Moderation, reports and enforcement

We may, but are not required to, review content or investigate activity. We may request information; limit visibility; change a listing or advertisement status; reject, suspend or remove content; restrict features; suspend or terminate an account; preserve relevant records; or refer a matter to an appropriate authority where we reasonably believe this is necessary to operate the service, enforce these Terms, address reports, comply with law or protect rights, property or safety.

Automated tools and user reports may be incomplete or inaccurate. Our decision not to act in one case does not waive our right to act later or in another case.

12. Third-party services and links

Part2Go may contain user-supplied links, advertisements or integrations operated by third parties. We do not control and are not responsible for third-party content, availability, security, terms, privacy practices, goods or services. Accessing or dealing with a third party is at your own risk.

13. Service availability and changes

We may maintain, update, modify, suspend or discontinue all or part of Part2Go. We do not promise that the service, any content or any particular feature will always be available, uninterrupted, secure or error-free. You are responsible for keeping copies of content and transaction records you need.

14. Disclaimers

To the fullest extent permitted by applicable law, Part2Go is provided on an “as is” and “as available” basis. We disclaim implied representations, warranties and conditions regarding availability, accuracy, quality, fitness for purpose, title, non-infringement and transaction outcomes. We do not guarantee the identity, authority, conduct or creditworthiness of a user, or the existence, ownership, legality, safety, condition or value of an item.

Nothing in these Terms excludes a representation, warranty or right that cannot lawfully be excluded.

15. Limitation of liability

To the fullest extent permitted by applicable law, Part2Go will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, business, opportunity, goodwill, data or anticipated savings arising from or connected with the service, user content, a third party or a transaction between users.

Part2Go does not exclude or limit liability where doing so would be unlawful, including liability that cannot be excluded under applicable consumer law. Your rights against a seller, buyer or other third party are not limited by this section.

16. Your responsibility for claims

To the extent permitted by law, you are responsible for losses, liabilities, claims and reasonable costs incurred by Part2Go arising from your unlawful use of the service, your content, your breach of these Terms or your infringement of another person’s rights. We will take reasonable steps to notify you of a relevant third-party claim and allow reasonable cooperation in its defence.

17. Suspension, termination and account deletion

You may stop using Part2Go at any time and may request account deletion through account settings. We may suspend or terminate access where reasonably necessary under section 11. On termination, your right to use the service ends. Provisions that by their nature should continue—including those concerning transactions, ownership, licences, disclaimers, liability, claims and disputes—will survive.

18. Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region. You and Part2Go submit to the non-exclusive jurisdiction of the courts of Hong Kong, unless applicable law requires otherwise. Before starting formal proceedings, please contact us and provide a reasonable opportunity to resolve the issue informally.

19. Changes to these terms

We may update these Terms to reflect changes to the service, law or operational requirements. We will post the revised Terms and update the date below. Where a change is material, we may also provide notice through the service or by email where appropriate. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.

20. General

If any provision is held invalid or unenforceable, the remaining provisions will continue in effect. A failure or delay in enforcing a provision is not a waiver. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer these Terms as part of a reorganisation or transfer of the service. These Terms, the Privacy Policy, the Listing Rules and any feature-specific terms expressly accepted by you make up the agreement concerning your use of Part2Go.
